Pursuant to Rule 5.28 of the GEM Listing Rules, the Company・s Audit Committee was formed on 5th June 2002 and is currently composed of namely,
The primary duties of the Audit
Committee are (a) to review the Group・s annual reports, financial statements, interim reports and quarterly reports, (b) to
provide advice and comments thereon to the Board and (c) to review and supervise the financial reporting process and the
internal control procedures of the Group. The Audit Committee has carefully reviewed the Company・s quarterly, half-yearly and annual results and its system of internal control and has made suggestions to improve them. The Committee also carried out and discharged its duties set out in Code. In the course of doing so, the Committee has met the company・s management, qualified accountant and external auditors during 2006. A statement of director responsibilities for preparing the financial statements is set out in this Annual Report. The Auditor・s Report states auditors・ reporting responsibilities. The Directors have reviewed and are satisfied with the effectiveness of the Group・s internal control system, including financial, operational and compliance controls and risk management functions. |
